Terms of Service

By creating an account or using DevAgenda (“the Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

These terms apply to all users of DevAgenda, operated by DevAgenda (“we,” “us,” or “our”).

DevAgenda is a client management tool for freelance developers. It provides features including proposals, contracts, invoices, project management, client portals, retainer agreements, and client messaging.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must be at least 18 years old to use the Service. By registering, you represent that you meet this requirement.

You may not use the Service for any illegal purpose or in violation of any applicable laws or regulations.

Access to the Service requires a paid subscription. We offer monthly and annual plans. Pricing is displayed at checkout and on our pricing page.

Subscriptions are billed in advance on a recurring basis (monthly or annually) through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method on each renewal date.

All fees are exclusive of taxes. You are responsible for any applicable taxes.

New accounts receive a 14-day free trial. No charge is made during the trial period. If you do not cancel before the trial ends, your selected plan will begin and your payment method will be charged.

You may cancel your subscription at any time from the Settings page. Cancellation takes effect at the end of your current billing period — you retain access until then.

We do not offer refunds for partial billing periods. If you believe you were charged in error, contact us within 30 days of the charge at support@devagenda.com.

You agree not to:

• Use the Service to harass, defraud, or harm others
• Attempt to gain unauthorized access to the Service or its infrastructure
• Reverse engineer, decompile, or otherwise attempt to extract the source code
• Resell or sublicense access to the Service without our written permission
• Use the Service to send unsolicited communications (spam)
• Interfere with or disrupt the integrity or performance of the Service

You retain ownership of all content you create using the Service, including proposals, contracts, invoices, and client data. By using the Service, you grant us a limited license to store and process your content solely to provide the Service.

You are solely responsible for the accuracy and legality of the content you create and send to your clients through the Service.

The Service, including its design, code, and branding, is owned by DevAgenda and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding.

The Service integrates with third-party providers including Stripe (payment processing), Resend (email delivery), Supabase (data storage and real-time features), GitHub, and Google (OAuth sign-in). Your use of these services is subject to their respective terms and privacy policies.

The Service is provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

DevAgenda is a productivity tool. We are not responsible for the outcome of any business relationship, contract, or financial transaction between you and your clients.

To the maximum extent permitted by law, DevAgenda shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability to you for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

We may suspend or terminate your account at any time if you violate these Terms or if we reasonably believe your use poses a risk to other users or the Service. You may delete your account at any time from the Settings page.

Upon termination, your right to access the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes.

We may update these Terms from time to time. We will notify you of material changes by email or by displaying a notice in the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of Ohio, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Ohio.
